By accessing or using PropertyNinja ("Service"), operated by Berg Solutions LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including landlords and tenants who access the Service through an invitation.
PropertyNinja is a property management software platform operated by Berg Solutions LLC that helps landlords manage rental properties, communicate with tenants, analyze deals, and track financials. PropertyNinja also provides a tenant-facing portal for rent payment tracking and maintenance requests. The Service is provided "as is" and may be updated at any time.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized account use. We reserve the right to terminate accounts that violate these Terms.
The Service offers three tiers: Free (1 property, all features), Pro ($9/month, up to 4 properties), and Max ($19/month, unlimited properties). Subscription payments are processed through Stripe. Subscriptions are billed monthly and may be cancelled at any time through the billing portal. No refunds are issued for partial billing periods. We reserve the right to change pricing with 30 days advance notice to existing subscribers.
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) harass, threaten, or defraud any person; (c) upload malicious code or interfere with the Service; (d) collect data from the Service without authorization; (e) use the Service in connection with any discriminatory housing practices in violation of the Fair Housing Act or applicable state law.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your property and tenant data. By using the Service, you grant PropertyNinja a limited license to store and process your data for the purpose of providing the Service.
Nothing in the Service constitutes legal, financial, tax, or real estate advice. Lease templates, state law warnings, financial calculations, and market data are provided for informational purposes only. Always consult qualified professionals before making legal or financial decisions.
The Service integrates with third-party providers including Supabase (database and authentication), Stripe (subscription billing and rent payment processing), Resend (transactional email), Firebase (push notifications), Sentry (error monitoring), Vercel (hosting), FRED (mortgage rate data), and HUD (fair market rent data). We are not responsible for the accuracy or availability of third-party data. Each provider operates under its own terms of service.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BERG SOLUTIONS LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERG SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST TWELVE MONTHS.
The Service provides electronic signature functionality for lease documents. By using this feature, you acknowledge that: (a) electronic signatures carry the same legal weight as handwritten signatures under the ESIGN Act (15 U.S.C. § 7001) and UETA; (b) you have the right to request a paper copy of any document you sign electronically; (c) PropertyNinja does not verify the identity, authority, or legal capacity of signers; (d) you are solely responsible for ensuring all parties to a lease have legal authority to enter the agreement; (e) lease templates are provided as starting points only and may not comply with your state's specific requirements. ALWAYS have a licensed attorney in your jurisdiction review any lease before execution.
Rent payments processed through the Service use Stripe as a third-party payment processor. By using Stripe-powered rent collection, you acknowledge that: (a) Stripe's standard processing fees apply (currently 2.9% + $0.30 per card transaction); (b) PropertyNinja does not process, store, or have access to payment card data; (c) payment disputes are handled through Stripe, not PropertyNinja; (d) landlords are solely responsible for tax reporting on collected rent payments; (e) PropertyNinja is not responsible for payment processing failures, delays, or fund holds imposed by Stripe; (f) by onboarding with Stripe Connect, landlords agree to Stripe's Connected Account Agreement.
You agree to indemnify, defend, and hold harmless Berg Solutions LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of lease templates, financial calculations, or market data provided by the Service; (b) disputes between landlords and tenants; (c) your violation of any applicable law, regulation, or third-party right; (d) your use of electronic signatures; (e) any inaccuracy in data you enter into the Service.
The Service may offer a referral program allowing users to invite other landlords. Referral rewards (account credits) are granted at our sole discretion when a referred user subscribes to a paid plan. We reserve the right to modify, suspend, or terminate the referral program at any time. Abuse of the referral system, including self-referrals or fraudulent signups, may result in forfeiture of rewards and account termination.
The Service may send push notifications to your device if you opt in. You can disable push notifications at any time through your device settings or the Service settings. Push notification tokens are stored securely and used solely for delivering notifications related to your account (rent reminders, maintenance updates, etc.).
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. For material changes, we will provide notice via email or in-app notification at least 14 days in advance.
These Terms are governed by applicable law. Any disputes shall be resolved by binding arbitration or in courts of competent jurisdiction. You agree to resolve disputes on an individual basis rather than as a class action.
